Welcome to Ambrosia. These Terms & Conditions (“Terms”) govern your access to and use of the website, online store and services offered by Ambrosia (hereinafter referred to as “we”, “us”, “our”, “Ambrosia”). By using our website or placing an order with us, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or purchase products from us.

Definitions

• “Customer”, “you”, “your” means the individual or legal entity accessing the website and/or ordering products from Ambrosia.
• “Products” means the goods offered for sale by Ambrosia on its website.
• “Website” means the online store operated by Ambrosia, including all pages and subsections.
• “Order” means a request by you to purchase Products through the Website subject to these Terms.

Eligibility

You must be at least 18 years of age (or otherwise legally competent to enter into contracts in your jurisdiction) to place an Order. By placing an Order, you represent and warrant that you are legally capable of entering into binding contracts.

Products, Description & Availability

• We endeavour to ensure that the descriptions and images of Products displayed on our Website are as accurate as possible. • All Products are subject to availability and may be withdrawn or modified by Ambrosia at any time without prior notice.
• We reserve the right to refuse or cancel any Order for any reason (including but not limited to: product availability, errors in pricing or product information, suspicion of fraud or unauthorised use) at our discretion.

Orders & Acceptance

• When you place an Order, you will receive an acknowledgement from us (via email or other contact method) confirming receipt of your Order. Please note that this acknowledgement does not mean your Order has been accepted.
• Acceptance of your Order will take place when we send you a dispatch confirmation (or equivalent) at which point a contract will come into existence between you and Ambrosia.
• 3 If we are unable to accept your Order (for example because the Product is out of stock, or there is an error in pricing), we will inform you and you will not be charged for the Product.

Payment & Pricing

• Prices for Products are quoted in Indian Rupees (INR) and are inclusive/exclusive of applicable taxes as specified on the Website.
• We reserve the right to change prices at any time, but changes will not affect Orders for which we have already sent a dispatch confirmation.
• Payment must be made in full at the time of placing your Order, via the payment methods offered on the Website (e.g., credit/debit cards, UPI, net-banking, wallet).
• You agree to provide current, complete and accurate payment information. If payment cannot be authorised or is declined, we may cancel your Order.

Delivery & Shipping

• We will deliver the Products to the address you specify when placing your Order. It is your responsibility to provide a correct, complete and deliverable address.
• Delivery dates or times quoted are estimates only and not guaranteed. We will not be liable for any delay in delivery due to events beyond our reasonable control.
• Risk of loss and damage passes to you when we hand over the Products to the courier or carrier. Title in the Products passes to you when we receive payment in full.
• If you refuse delivery, or provide an incorrect address resulting in returned shipment, additional charges for re-shipment or storage may apply at our discretion.

Returns, Refunds & Cancellation

• You may cancel an Order before dispatch by contacting us; once the Product has been dispatched, cancellation may not be possible or may be subject to charges.
• If you return a Product, it must be unused, in its original packaging with all tags (if applicable), and will be subject to our inspection.
• Refunds will be processed once we receive the returned Product and verify that it meets our return criteria. Refunds will be credited via the original mode of payment unless otherwise agreed.

Intellectual Property

• All content on the Website (including text, graphics, logos, images, audio, video, data compilations, and software) is the property of Ambrosia or its licensors and is protected by Indian and international copyright and other intellectual property laws.
• You may view, download, or print a single copy of content from the Website for your personal and non-commercial use only. You must not modify, reproduce, distribute, sell, or exploit any part of the Website or its content without our prior written permission.

User Conduct & Prohibited Activities

You agree not to use the Website or Products for any unlawful or prohibited purpose. Without limiting the foregoing, you agree you will not.

• Use the Website in violation of any applicable law or regulation.
• Attempt to access or interfere with other users’ accounts, or disrupt or interfere with the security, servers or networks connected to the Website.

Disclaimers & Limitation of Liability

To the fullest extent permitted by law, Ambrosia disclaims all warranties, including (but not limited to) any implied warranties of merchantability, fitness for a particular purpose, non-infringement or accuracy of information.
• Ambrosia will not be liable for any direct, indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of or inability to use the Website or Products, even if we have been advised of the possibility of such damages.
• Nothing in these Terms shall limit or exclude liability for (i) death or personal injury caused by our negligence, (ii) fraud or fraudulent misrepresentation, or (iii) any other liability which cannot be limited or excluded under applicable law.

Force Majeure

Ambrosia will not be in breach of these Terms or liable for delay or failure to perform any obligation if such delay or failure is caused by events beyond its reasonable control (e.g., natural disasters, acts of God, war, terrorism, strikes, lock-outs, government actions).

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of courts in Lucknow, Uttar Pradesh

Changes to the Terms

We reserve the right to modify these Terms at any time by posting the revised Terms on the Website and indicating at the top the date of the last update. Your continued use of the Website or placing Orders after such modifications will constitute your acceptance of the revised Terms.

Severability

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, such provision shall be struck out and the remaining provisions shall remain in full force and effect.
